Setec Astronomy Lab Terms of Service
These are the rules for using anything made by Setec Astronomy Lab, LLC ("Setec," "we") — Big Spoon and whatever we build next. One account, one set of terms. Product-specific rules are at the end under the product's name.
By creating an account or using our products, you agree to these Terms and to our Privacy Policy (https://bigspoon.love/legal/privacy). If you don't agree, don't use them.
The short version
- You must be 18 and be your real self.
- You keep ownership of what you post. You give us a broad license to use it — including to train our own AI models — but not to put your photos or answers in advertising without asking you.
- Memberships are 90 days and renew until you cancel. Web purchases are refundable until your city goes live, and not after. App store purchases follow the store's refund rules.
- We don't run background checks. Be careful.
- We can remove content and close accounts that break the rules.
- Legal disputes are resolved by individual arbitration — not in court, not as a class action. You can opt out of arbitration within 30 days of joining.
- Our liability is capped. We're not responsible for what other users do.
Who can use our products
You can use our products if you:
- are at least 18;
- can legally agree to a contract;
- have never been removed from one of our products by us;
- are not required to register as a sex offender anywhere.
Individual products may add requirements, like a US phone number.
Your account
Your account is tied to your phone number and works across all Setec products. One person, one account. Don't share it, sell it, or let someone else use it. Keep the phone number current; if you lose the number, you may lose access. Tell us right away if someone else is using your account.
Your content and our license
In short: it's yours; we get a wide license to use it; we won't use it in ads without asking.
You own what you post. Photos, answers, messages — all of it.
You give us a license. To run our products we need permission to use your content. You grant Setec a worldwide, non-exclusive, royalty-free license to host, store, copy, display, reproduce, adapt, modify (for example, crop and resize), analyze, and distribute your content, and to use it to operate, moderate, improve, and develop our products and features across all Setec products — including to train and improve our own AI models. We can extend this license to companies that provide services to us, and to a company that acquires Setec or a Setec product.
What we won't do with it. We won't use your photos or your answers in advertising or public marketing without asking you first and getting a separate yes.
How long the license lasts. As long as your content is in our products, and for the retention periods in the Privacy Policy after you delete it. It continues for content other people already saw, for reports, and for AI models trained while your content was here.
Your promises about your content. You have the right to post it. If a photo includes other people, you have their permission. It isn't stolen, it doesn't break the law, and it's really you.
Feedback. If you send us ideas or suggestions, we can use them freely.
The rules
In short: be real, be decent, don't break the law, don't game the system.
You agree not to:
- Pretend to be someone you're not, lie about your age, or use photos that aren't of you.
- Harass, threaten, stalk, or abuse anyone, or post hateful, violent, or sexually explicit content.
- Post or send anything sexual involving a minor. We remove it immediately and report it to the National Center for Missing & Exploited Children.
- Ask other users for money, sell anything, recruit for anything, or use our products for any commercial purpose.
- Share anyone's private information without their permission.
- Use bots, scrapers, or automation, or try to get around our rules, limits, or security.
- Copy, reverse-engineer, or resell any part of our products.
- Create more than one account, or a new account after we've removed you.
- Break any law.
We decide what breaks these rules. We can remove content, limit features, or close accounts — with or without notice, depending on how serious it is. If we close your account for breaking the rules, you don't get a refund for anything you bought from us directly, and you can't come back.
If you see something wrong, report it. Reports are reviewed by an automated system and by our team, usually within a day. We don't promise a specific response time, and we don't tell you what action we took against someone else.
Safety
In short: we don't check anyone's background. You're responsible for your own safety.
Setec does not conduct criminal background screenings on its members. We may in the future; if we start, we'll update these Terms first. We don't verify identities beyond confirming a phone number and screening photos automatically. Anyone can lie.
You are responsible for your interactions with other people, online and off. We're not responsible for the conduct of any user. Read the Safety Tips before you meet anyone: https://bigspoon.love/legal/safety. In an emergency, call 911.
Memberships and payments
In short: 90-day terms that renew until you cancel; refunds depend on where you bought.
What a membership is. Each product tells you what a membership unlocks. In Big Spoon, membership is what lets conversations form; browsing is free.
Price and term. The price is shown before you buy. A membership term is 90 days. The term starts when your city is live and you can use the product; if your city isn't live yet when you buy, we hold your membership until it is, and the 90 days start then.
Renewal. Memberships renew automatically for another 90 days at the end of each term, at the then-current price, until you cancel. We'll tell you before a price goes up, and you can cancel before it takes effect.
Canceling. Cancel anytime. Cancellation stops the next renewal; you keep access through the end of the current term. Where you cancel depends on where you bought: on the web, in your account settings; through Apple or Google, in the store's subscription settings.
Refunds — web purchases (Stripe). If your city hasn't gone live yet, you can get a full refund by emailing support@bigspoon.love. Once your city is live, membership payments are not refundable, except where the law requires it.
Refunds — app store purchases. If you bought through Apple or Google, the store handles billing and refunds under its own rules, and the store's billing schedule applies. Ask the store; we can't issue those refunds ourselves.
Taxes. Prices may not include taxes; you pay any that apply.
Ending your account
You can delete your account anytime in the app. Deletion is permanent. Any membership ends with it; refunds follow the rules above.
We can suspend or close your account if you break these Terms, if the law requires it, or if we stop offering a product. We'll tell you unless we legally can't, or telling you would put someone at risk.
Some parts of these Terms survive after your account ends: the license for content we're allowed to keep, the disputes section, the liability limits, and anything else that by its nature should.
Our products change
We're a small company building new things. Features will change, be added, and be removed. Products may be available only in some cities. We'll do our best to give notice for anything that matters.
Other companies
App stores, Stripe, and other companies we work with have their own terms. When you use them, their terms apply too. We're not responsible for them.
No guarantees
In short: we try hard, and we promise nothing about outcomes.
We provide our products "as is." We don't promise they'll always work, be error-free, or be secure. We don't promise you'll find a match, a partner, or anything else. We don't verify who people are or what they say. To the extent the law allows, we disclaim all warranties, express or implied.
Limits on our liability
In short: if we owe you money, it's capped.
To the extent the law allows, Setec is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from our products or these Terms — and we're not liable for the conduct of any user, online or offline.
Our total liability to you for all claims combined is capped at the greater of $100 or the amount you paid us in the 12 months before the claim.
These limits don't apply to liability we can't limit by law — for example, for our gross negligence or willful misconduct, or for death or personal injury caused by our negligence. Some states don't allow some of these limits; in those states, the limits apply as far as they legally can.
Your responsibility for claims
If someone brings a claim against Setec because of content you posted or because you broke these Terms, you'll cover our losses, including reasonable legal fees.
Disputes: arbitration and no class actions
In short: we talk first; if that fails, an individual arbitrator decides; no class actions; you can opt out within 30 days.
Read this section carefully. It affects your legal rights.
Talk first. Before either of us starts arbitration or a lawsuit, we try to work it out. Send a written notice to support@bigspoon.love with your name, the phone number on your account, a description of the problem, and what you want. We'll do the same if we have a claim against you. We then both have 60 days to resolve it informally, including at least one phone or video conversation if either of us asks. Legal deadlines pause during those 60 days.
Arbitration. If we can't work it out, any dispute between you and Setec arising from our products or these Terms will be resolved by binding individual arbitration, not in court. The Federal Arbitration Act governs this section. Arbitration is run by the American Arbitration Association under its Consumer Arbitration Rules (www.adr.org), with one arbitrator. Hearings are by phone or video, or in the county where you live if you ask. The arbitrator can award anything a court could, but only to you individually. AAA's consumer fee schedule applies; if the arbitrator finds a claim frivolous, they can shift fees as the rules allow. The arbitrator decides all questions about this section except the enforceability of the class action waiver, which a court decides.
Exceptions. Either of us can bring an individual claim in small claims court instead. Either of us can go to court to stop unauthorized use of our products or intellectual property, or to enforce this section.
No class actions. You and Setec agree to bring claims only as individuals — not as a plaintiff or member of a class, consolidated, or representative proceeding. The arbitrator can't combine claims from different people. If a court decides this waiver can't be enforced for a particular claim or remedy, that claim or remedy will be decided in court, and everything else stays in arbitration; the court proceeding waits until arbitration is finished.
No jury. If a claim ends up in court anyway, we both waive a jury trial.
Many similar claims. If 25 or more people bring similar claims against us represented by the same or coordinated lawyers, the claims are handled in batches of 50. Each batch has its own arbitrator and its own fees, and batches proceed in stages. Legal deadlines pause while a claim waits for its batch. A court can enforce this paragraph.
Opting out. You can reject this arbitration section by emailing support@bigspoon.love with the subject line "Arbitration opt-out," your name, and the phone number on your account, within 30 days of first accepting these Terms. Opting out doesn't affect the rest of the Terms.
Changes to this section. If we change this section, the change applies only to disputes that arise after the change. You can reject a change by opting out within 30 days of it taking effect, and the previous version of this section will keep applying to you.
Law and courts. Delaware law governs these Terms, without regard to conflict-of-law rules — except that the consumer protection laws of the state where you live still apply where they must. Anything that goes to court goes to the state or federal courts in Delaware, and we both agree to their jurisdiction.
Changes to these Terms
These Terms are versioned, and the version number and effective date are at the top. The current version is always at https://bigspoon.love/legal/terms. For material changes, we'll ask you to agree to the new version in the app before you continue. Smaller changes take effect when we publish them; using the products after that means you accept them.
The rest
- These Terms and the Privacy Policy are the whole agreement between us about our products.
- If part of these Terms can't be enforced, the rest still applies.
- We can transfer these Terms to a company that acquires Setec or a Setec product. You can't transfer them.
- If we don't enforce something right away, we haven't given up the right to.
- Copyright complaints. If you believe content in our products infringes your copyright, email support@bigspoon.love with the details the DMCA requires.
- California residents. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs can be reached at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.
Big Spoon
Product-specific terms.
- One monogamous relationship. Big Spoon is for people looking for one monogamous relationship. If that isn't what you want, please don't join.
- One match at a time. You hold one match. Ending it is permanent: you and that person won't be matched again, and there's no undo.
- Likes are permanent. A like can form a match at any time while both accounts exist. Passing on someone hides them for a while.
- Knocks. While you hold a match, we may sometimes show you one other person who also liked you, for a limited time. You can trade or do nothing. Doing nothing changes nothing about your current match.
- No inventory. We don't show how many people liked you, who they are, or how many are waiting. Not at any price.
- No fake people. We never create profiles or send messages pretending to be another user.
- Membership. Membership is required for conversations to form, not for browsing or liking. If your membership lapses during a conversation, the conversation continues.
- Cities. Big Spoon opens city by city. Until yours is live, you're on the waitlist; membership terms start when it opens.
- When it ends. When a match ends for any reason, the other person is told only that the match has ended.
- Reports and blocks. Blocking is mutual and permanent. Reports are kept even after account deletion.
